WhatchaCatchin?!’s The Bait Pail is an online market where vendors can sell fishing goods to fishing enthusiasts from around the world directly. Whether you produce hand-tied flies, custom jigs, baits,  scent additives, and any other fishing related products, you can sell them on WhatchaCatchin?!’s The Bait Pail. To ensure you and your buyers have a positive experience on WhatchaCatchin’s The Bait Pail, please read on to find out more about your rights, as well as what is expected of you, as a vendor.

1. Selling Basics

These basic requirements will set you up for success on WhatchaCatchin’s The Bait Pail.

a. What can be sold on WhatchaCatchin’s The Bait Pail

WhatchaCatchin’s The Bait Pail is a unique marketplace. Buyers come here to purchase fishing gear they might not find anywhere else. Everything listed for sale on WhatchaCatchin’s The Bait Pail must be fishing related produced, manufactured, or handmade by or for the vendor, or a supplies used for one of these designations.

You are required to use your own photographs or video content —not stock photos, artistic renderings, or photos used by other vendors or sites.

If you are selling personalized or made-to-order items, you agree that:

1.            All listings are available for purchase at a set price except for custom rods which vary greatly depending on specs.

2.            If you are using photographs of previous work with options for customization (like color choices) included in the listing, it is clear in your description that the photos shown are just examples.

Supplies are tools, ingredients, or materials whose primary purpose is for use in the creation of an item. Supplies may be handmade, produced, manufactured or commercial. Examples are bucktail, feathers, leader material, etc.

We encourage you to be transparent about how your supplies were made and where your materials come from. You can disclose whether your items have social or environmental attributes, such as organic or recycled. You can also select the location of manufacture.

b. What Can’t be Sold on WhatchaCatchin’s The Bait Pail

Anything other than fishing related products. 

Reselling of commercially manufactured, national or major brands, except for supplies, is not allowed  on WhatchaCatchin’s The Bait Pail. Reselling refers to listing an item where the vendor was not involved in the process of designing , producing or manufacturing .

Note: users may flag listings that appear to violate our policies for WhatchaCatchin’s The Bait Pail’s review. WhatchaCatchin’s The Bait Pail may remove any listings that violate our policies. WhatchaCatchin’s The Bait Pail may also suspend or terminate your account for any violations. You’ll still be on the hook to pay any outstanding fees on your WhatchaCatchin’s The Bait Pail statement.

If you are raising money on behalf of a charity, you must obtain that charity’s consent.

c. Managing your WhatchaCatchin’s The Bait Pail Shop

Your shop represents you and your business on the WhatchaCatchin’s The Bait Pail. It’s important that you, your items and your shop are honestly and accurately represented.

By selling on WhatchaCatchin’s The Bait Pail, you agree that you will:

1.            Provide honest, accurate information to WhatchaCatchin’s The Bait Pail and in your About section.

2.            Honor your Shop Policies.

3.            Ensure your shop content, such as any text, photos or videos used to represent yourself, your shop or your listings, abide by WhatchaCatchin’s The Bait Pail’s policies.

4.            Accurately represent your items in listings and listing photos.

5.            Respect the intellectual property of others. If you feel someone has violated your intellectual property rights, you can report it to WhatchaCatchin’s The Bait Pail.

6.            Not engage in fee avoidance.

7.            Not create duplicate shops or take any other action (such as manipulating clicks, carts or sales) for the purpose of shilling, manipulating search or circumventing WhatchaCatchin’s The Bait Pail’s policies.

8.            Not coordinate pricing with other vendors.

d. Vendor Standards

By listing a product for sale on WhatchaCatchin’s The Bait Pail you understand and agree that you are responsible for complying with all applicable laws and regulations for the products you list for sale, including any required labels and warnings. WhatchaCatchin’s The Bait Pail assumes no responsibility for the accuracy, labeling, or content of your listings.

Meeting Service Standards

As a vendor, you must provide great customer service and maintain trust with your buyers. These requirements are called our Vendor Service Standards. WhatchaCatchin’s The Bait Pail may reach out to you if your shop fails to meet WhatchaCatchin’s The Bait Pail’s Vendor Service Standards.

By selling on WhatchaCatchin’s The Bait Pail, you agree to:

1.            Honor your shipping and processing times. Vendors are obligated to ship an item or otherwise complete a transaction with a buyer in a prompt manner, unless there is an exceptional circumstance. Please be aware that legal requirements for shipping times vary by country.

2.            Respond to Messages in a timely manner.

3.            Honor the commitments you make in your shop policies.

4.            Resolve disagreements or disputes directly with the buyer. In the unlikely event that you can’t reach a resolution, WhatchaCatchin’s The Bait Pail can help upon request.

5.            If you are unable to complete an order, you must notify the buyer and cancel the order.

e. Selling Fees

Vendors may be charged for using some of WhatchaCatchin’s The Bait Pail’s services. There are fees associated with certain WhatchaCatchin’s The Bait Pail features such as being a featured vendor or having a featured product or being featured in/on WhatchaCatchin’s The Bait Pail social and marketing platforms/accounts.  

2. Being a Vendor on the WhatchaCatchin’s The Bait Pail  

On WhatchaCatchin’s The Bait Pail, everyone is expected to treat fellow users of the WhatchaCatchin’s The Bait Pail platform with respect. As a vendor, you have additional responsibilities to safeguard personal information and communicate promptly with buyers in order to provide a great customer experience.

a. Creating and Uploading Content

As a user of WhatchaCatchin’s The Bait Pail, you have the opportunity to create and upload a variety of content, like listings, Messages, text, photos, and videos. In order to keep our platform safe and respectful, you agree that you will not upload content that is:

1.            Contains hateful or derogatory language or imagery.

2.            Contains threats, harassment, extortion, or violates our rules about interference;

3.            Violates someone else’s intellectual property rights;

4.            Is false, deceptive, or misleading;

5.            Contains unsolicited advertising or promotions, requests for donations, or spam;

6.            Contains private information, whether it is your own, or someone else’s;

7.            Encourages or facilitates a transaction that evades the WhatchaCatchin’s The Bait Pail checkout process;

8.            Violates any of the rules described in our Prohibited Items Policy.

Some content on WhatchaCatchin’s The Bait Pail is subject to additional requirements.

b. Privacy and Protecting Personal Information

You are responsible for protecting users’ personal information you receive or process, and you must comply with all relevant legal requirements. This includes applicable data protection and privacy laws that govern the ways in which you can use WhatchaCatchin’s The Bait Pail user information. These laws may require that you post and comply with your own privacy policy, which must be accessible to WhatchaCatchin’s The Bait Pail users with whom you interact. Your privacy policy must be compatible with this policy and WhatchaCatchin’s The Bait Pail’s Terms of Use, and WhatchaCatchin’s The Bait Pail’s Privacy Policy.

In particular, when you sell using our Services (subject to this Policy) or use WhatchaCatchin’s The Bait Pail’s API (also subject to the WhatchaCatchin’s The Bait Pail API Terms of Use), you may receive and determine what to do with certain personal information, such as when communicating with users and entering into transactions with buyers. This means you process personal information (for example, buyer name, email address, and shipping address) and, to the extent you do so, under EU law, you are an independent controller of data relating to other users that you may have obtained through the Services. For more information on the General Data Protection Regulation, see more resources at https://gdpr-info.eu and http://gdprandyou.ie. As a data controller (that is someone who decides what personal data is collected and the purpose you’ll use the data for) to the extent that you process user personal information outside of the Services, you may be required under applicable data protection and privacy laws to honor requests received from such users for data access, portability, correction, deletion, and objections to processing. Also, if you disclose personal information without the buyer’s proper consent, you are responsible for that unauthorized disclosure. This includes, for example, disclosures you make or unintentional data breaches. For example, you may receive a buyer’s email address or other information as a result of entering into a transaction with that buyer. This information may only be used for WhatchaCatchin’s The Bait Pail-related communications or for WhatchaCatchin’s The Bait Pail-facilitated transactions. You may not use this information for unsolicited commercial messages or unauthorized transactions. Without the buyer’s consent, and subject to other applicable WhatchaCatchin’s The Bait Pail policies and laws, you may not add any WhatchaCatchin’s The Bait Pail user to your email or physical mailing list, use that buyer’s identity for marketing, or obtain or retain any payment information. Please bear in mind that you’re responsible for knowing the standard of consent required in any given instance. If WhatchaCatchin’s The Bait Pail and you are found to be joint data controllers of personal information, and if WhatchaCatchin’s The Bait Pail is sued, fined, or otherwise incurs expenses because of something that you did in your capacity as a joint data controller of buyer personal information, you agree to indemnify WhatchaCatchin’s The Bait Pail for the expenses it occurs in connection with your processing of buyer personal information.

c. Communication Standards

i. Messages

With WhatchaCatchin’s The Bait Pail’s “Messages”, you have the ability to communicate directly with your buyers or other WhatchaCatchin’s The Bait Pail users. Messages are a great way for buyers to ask you questions about an item or an order.

Messages may not be used for the following activities:

1.            Sending unsolicited advertising or promotions, requests for donations, or spam;

2.            Harassing or abusing another user;

3.            Contacting someone after they have explicitly asked you not to; or

4.            Interfering with a transaction or the business of another user.

5.            Exchanging personal contact, financial or other information for the purposes of evading the checkout process on WhatchaCatchin’s The Bait Pail, including phone number, address, email, social media handles, external URLs, instructions for money transfer, etc.

Interference

Interference occurs when a user intentionally interferes with another user’s shop in order to drive away their business. Interference is strictly prohibited on WhatchaCatchin’s The Bait Pail. Examples of interference include:

1.            Contacting another user via Messages to warn them away from a particular user, shop, or item;

2.            Posting in public areas to demonstrate or discuss a dispute with another user;

3.            Purchasing from a vendor for the sole purpose of leaving a negative review;

4.            Maliciously clicking on a competitor’s Promoted Listings ads in order to drain that user’s advertising budget, also known as “click fraud.”

5.            Creating or using an independent buyer account to maliciously upvote another shop’s negative reviews in order to position those reviews more prominently.

Harassment and Discrimination

Any use of Messages to harass other users is strictly prohibited. Similarly, Messages may not be used to support or glorify hatred or otherwise violate our Anti-Discrimination Policy. If you receive a Message that violates this policy, please let us know right away.

ii. Communicating Cancellations

If you are unable to complete a transaction, you must notify the buyer via Messages and cancel the transaction. If the buyer already submitted payment, you must issue a full refund. You are encouraged to keep proof of any refunds in the event a dispute arises. All cancellations are subject to our Cancellation Policy.

European Union Right of Withdrawal Buyers in the European Union (EU) may be entitled to a 14-day “right of withdrawal” after receiving an item, during which they may return an item for any reason. The details of this right vary by EU user state. The right of withdrawal may not apply to certain items like custom items or perishable goods. Rights with respect to digital items vary by EU user state.

Please be aware that in addition to this policy, each country has its own laws surrounding shipping, cancellations, returns, and exchanges. Please familiarize yourself with the laws of your own country and those of your buyers’ countries.

3. Feedback, Disputes and Your Success

a. Reviews

Reviews are a great way for you to build a reputation on WhatchaCatchin’s The Bait Pail. Buyers can leave a review, including a one to five star rating and a photograph of their purchase, within 100 days after the latter date of their item’s estimated delivery date. If an estimated delivery date is not available, the review window opens after the order’s processing time and shipping time have elapsed. Buyers can edit their review, including the photograph, any number of times during that 100 day period.

On the rare occasion you receive an unfavorable review, you can reach out to the buyer or, if the review is less than 3 stars, leave a response.

In addition to our rules for Creating and Uploading Content, reviews and your response to reviews may not:

1.            Contain graphic, mature, or obscene language or imagery, or any content that is subject to our mature content policy;

2.            Be about things outside the vendor’s control, such as a shipping carrier, WhatchaCatchin’s The Bait Pail or a third party;

3.            Include shilling or otherwise falsely inflate a shop’s review score; or

4.            Undermine the integrity of the Reviews system.

b. Your Vendor Account and WhatchaCatchin’s The Bait Pail’s Terms

In order to keep WhatchaCatchin’s The Bait Pail safe and improve our Services, we may take actions that limit the visibility of your shop, listings or ads, or that impact your payment account. In the event a shop sees unusual order activity, or we otherwise believe that your actions or shop may result in buyer disputes, chargebacks, increased risk of fraud, counterfeiting, or other claims, WhatchaCatchin’s The Bait Pail may take actions such as limiting visibility of your account, or placing restrictions or reserves on your payments account, in accordance with our Terms of Use, including this Policy and our WhatchaCatchin’s The Bait Pail Payments Policy. When appropriate and permitted by law, WhatchaCatchin’s The Bait Pail will communicate information to the affected vendor about the issue.

In the event a shop sees an unusual spike in orders, particularly in a high demand category, a shop may see an increase or decrease in its search ranking. Often, if a shop sees an increase in fulfilled orders and good reviews, this may result in higher visibility and search rank. However, sometimes a rapid increase in orders can reduce visibility.

In addition, we may limit the visibility of listings or ads in the interest of keeping WhatchaCatchin’s The Bait Pail safe, and improving our Services. For example, listings or ads may have decreased visibility because they include terms that represent a prohibited item or based on third party policies. These listings or ads may also be restricted from appearing in one or more features of the Services. While these listings or ads may have limited visibility, they are still discoverable in search.

WhatchaCatchin’s The Bait Pail may make changes to onboarding or authentication processes for vendors at our sole discretion. Completion of these processes may be required for vendor account activation or continued access and usage.

If WhatchaCatchin’s The Bait Pail has reason to believe you, Your Content, or your use of the Services violate our Terms, including this Vendor Policy, we may deactivate Your Content or suspend or terminate your account (and any accounts WhatchaCatchin’s The Bait Pail determines is related to your account) and your access to the Services. Vendors in the European Union can see more information here. Generally, WhatchaCatchin’s The Bait Pail will notify you that Your Content or account has been suspended or terminated, unless you’ve repeatedly violated our Terms or we have legal or regulatory reasons preventing us from notifying you.

c. Vendor Protection

WhatchaCatchin’s The Bait Pail also provides limited protection to vendors who meet the requirements of our Vendor Protection Program. Read more about WhatchaCatchin’s The Bait Pail’s Vendor Protection Program here.

PRIVACY POLICY

We believe in transparency, and we’re committed to being upfront about our privacy practices, including how we treat your personal information. We know you care about your privacy too, so we provide settings that allow you to choose how certain information is used by WhatchaCatchin?!’s The Bait Pail. This policy explains our privacy practices for WhatchaCatchin?!’s The Bait Pail(which we’ll refer to as the “Site”), WhatchaCatchin?!’s The Bait Pail Payments, and any other services provided by WhatchaCatchin?!’s The Bait Pail depending on your location (“WhatchaCatchin?!’s The Bait Pail,” together with “we,” “us,” and “our”). We’ll refer to the Site by WhatchaCatchin?!’s The Bait Pail, WhatchaCatchin?!’s The Bait Pail Payments, and our other services as the “Services”. This policy does not apply to the practices of third parties (including other users who sell using the Services or API users) who may also collect or receive data in connection with your use of the Services.

1. Our Privacy Policy

By accepting our Terms of Use (and in some jurisdictions, by acknowledging this policy), you confirm that you have read and understand this policy, including how and why we use your information. If you don’t want us to collect or process your personal information in the ways described in this policy, you shouldn’t use the Services.

WhatchaCatchin?!’s The Bait Pail ’s Terms of Use require all account owners to be at least 18 years of age. Minors under 18 years of age and at least 13 years of age are permitted to use WhatchaCatchin?!’s The Bait Pail ‘s Services only if they have permission and direct supervision by the owner of the account. Children under age 13 are not permitted to use the Services. You are responsible for any and all account activity conducted by a minor on your account. We do not knowingly “sell,” as that term is defined under applicable law, including the California Consumer Privacy Act, the personal information of minors. By using the Services, you acknowledge that WhatchaCatchin?!’s The Bait Pail will use your information in the United States and any other country where WhatchaCatchin?!’s The Bait Pail operates. Please be aware that the privacy laws and standards in certain countries, including the rights of authorities to access your personal information, may differ from those that apply in the country in which you reside. We will transfer personal information only to those countries to which we are permitted by law to transfer personal information as more fully described in the “Transfers” Section of this policy.

2. Information Collected or Received

In the course of providing our Services, we collect or receive your personal information in a few different ways. We obtain the categories of personal information listed below from the following sources: directly from you, for example, from forms you complete or during registration; indirectly from you based on your activity and interaction with our Services, or from the device or browser you use to access the Services; from our vendors and suppliers that help provide WhatchaCatchin?!’s The Bait Pail services you may interact with (such as, for example, for payments or customer support), and from our third party advertising and marketing partners. Often, you choose what information to provide, but sometimes we require certain information to provide you the Services. WhatchaCatchin?!’s The Bait Pail uses the personal information it receives and collects in accordance with the purposes described in this policy.

You may choose to link your bank account to pay for purchases (or receive payment in the case of vendors) through a third-party service available through the Site. WhatchaCatchin?!’s The Bait Pail does not have a direct partner relationship with these third parties and their processing of information is subject to their own privacy policies. You should understand the privacy and security practices of any third party before you share information with them.

Registration, Account Setup, Service Usage: In order to use the Services, will need to submit a valid email address. If you register, you will need to submit a name associated with your account. You may modify that name through your account settings. You need to provide this information to enable us to provide you with the Services. Additional information, such as a shop name, billing and payment information (including billing contact name, address, telephone number, credit card information), a telephone number, and/or a physical postal address, may be necessary in order for us to provide a particular service. For example, we need a physical postal address if you are buying something on the Site for delivery. As an WhatchaCatchin?!’s The Bait Pail vendor, if you choose to use our payment service (“WhatchaCatchin?!’s The Bait Pail Payments”), WhatchaCatchin?!’s The Bait Pail requires your full name, social security number, identification ID or tax ID, date of birth, bank account information, photograph, credit card information, and/or other proof of identification in order to verify your identity, provide this service to you, and comply with applicable law. For example, in certain markets, WhatchaCatchin?!’s The Bait Pail Vendors’ imprint (including trade name or individual name as applicable), may be displayed to buyers on WhatchaCatchin?!’s The Bait Pail in order to comply with local legal requirements. For both buyers and vendors, WhatchaCatchin?!’s The Bait Pail requires this information from you in order to provide you with the Services (including, to verify ownership of an account, to mitigate fraud and abuse, to comply with regulatory obligations, or to complete a transaction as a buyer or vendor). We may store credit card information and other information provided to us during checkout, for billing and payment purposes, and to process your transaction. Users in certain countries can elect to save their credit card information to facilitate checkout for future purchases. If you’re an WhatchaCatchin?!’s The Bait Pail buyer in the EU, Norway, Iceland, Liechtenstein or the United Kingdom, you may be asked to authenticate your payment method when you place your order. To authenticate a payment, you will need to respond to a prompt from your card issuer and provide additional information, such as a correct response to a question, a password, or a passcode. WhatchaCatchin?!’s The Bait Pail may contact individual shop owners confidentially to request more information about their shops or items listed through the Services, or may request information from buyers to ensure compliance with our policies and applicable law. In order to use certain products or services on WhatchaCatchin?!’s The Bait Pail, you may be required to complete an application; information that you submit through the application process will not be displayed publicly and will only be used internally by WhatchaCatchin?!’s The Bait Pail and its service providers, unless otherwise specified.

Profile: You may provide your name and other personal information (such as birthday, gender, location) in connection with your account and activity. You can edit or remove this information through your account settings. The name associated with your account (which you may modify in your account settings) is publicly displayed and connected to your WhatchaCatchin?!’s The Bait Pail activity. Other users may see the date you joined; ratings, reviews (including your display name, city and/or country) and information relating to items you review, and related photos for items you purchased or sold; your profile information; items you listed for sale; your shop pages and policies; your favorites, followers, and those you follow; sold item listings and the number of items sold; comments you post in our marketplace; and information you decide to share via social networks. For Vendors, we may collect and use information about you in order to feature you in marketing and advocacy materials, and to feature you and your shop on and off the platform, as provided for in WhatchaCatchin?!’s The Bait Pail ’s Terms of Use or as otherwise legally required.

Automated Information: WhatchaCatchin?!’s The Bait Pail automatically receives and records information from your browser or your mobile device when you visit the Site or use certain features of the Services, such as your IP address or unique device identifier, cookies, and data about which pages you visit and how you interact with those pages in order to allow us to operate and provide the Services. This information is stored in log files and is collected automatically. WhatchaCatchin?!’s The Bait Pail may also receive similar information (like, for example, IP addresses and actions taken on the device) provided by a connected Internet of Things device such as a voice-activated assistant or Smart TV. We may combine this information from your browser or your mobile device with other information that we or our advertising or marketing partners collect about you, including across devices. This information is used to prevent fraud and to keep the Services secure, to analyze and understand how the Services work for users and visitors, and to provide advertising, including across your devices, and a more personalized experience for users and visitors.

We also automatically collect device-specific information when you install, access, or use our Services. This information can include information such as the hardware model, operating system information, app version, app usage and debugging information, browser information, IP address, and device identifiers. Data from WhatchaCatchin?!’s The Bait Pail Vendors and Suppliers: We also receive information from our vendors and suppliers about you. This information can include customer service interactions, payments information, shipping information, and information shared in WhatchaCatchin?!’s The Bait Pail ’s forums.

Data from Advertising and Marketing Partners: As described below, WhatchaCatchin?!’s The Bait Pail receives information from our advertising and marketing partners about you. This information can include attribution information via cookies and UTM tags in URLs to determine where a visit to WhatchaCatchin?!’s The Bait Pail comes from, responses to marketing emails and advertisements, responses to offers, and audience information from partners who you have given consent to share that information with us.

Location Information: We may collect information about your use of the Services for advertising, for analytics, to serve content, and to protect the Services. This can include your IP address, browser information (including referrers), device information (such as iOS IDFA, IDFV for limited non-advertising purposes, Android AAID, and, when enabled by you, location information provided by your device). When you use the Apps, you can choose to share your geolocation details with WhatchaCatchin?!’s The Bait Pail in order to use functions like our local marketplace, maps, and for in-person sales (although you don’t need to share these details). You can choose to publish your location when you sell on WhatchaCatchin?!’s The Bait Pail .

We obtain location information you provide in your profile or your IP address. With your consent, we may also determine location by using other information from your device, such as precise location information from GPS or information about wireless networks or cell towers near your mobile device. We use and store information about your location to provide features and to improve and customize the Services, for example, for WhatchaCatchin?!’s The Bait Pail ’s internal analytics and performance monitoring; localization, regional requirements, and policies for the Services; for local content, search results, and recommendations; for shipping and mapping services; and using approximate location information, such as a city or country, for marketing and personalizing and tailoring our Services to you. If you have consented to share your precise device location details but would no longer like to continue sharing that information with us, you may revoke your consent to the sharing of that information through the settings on the Apps or on your mobile device. Certain non-precise location services, such as for security and localized policies based on your IP address or submitted address, are critical for the Site to function. We will only share your geolocation details with third parties (like our mapping, payments, or, to the extent applicable, advertising providers) in order to provide you with the Services. You may also choose to enable the Apps to access your mobile device’s camera to upload photographs to WhatchaCatchin?!’s The Bait Pail .

Analytics Information: We use data analytics software to ensure Site functionality and to improve the Services. This software records information such as how often you use the Site, what happens within the Site, aggregated usage, performance data, errors and debugging information, and where the Site was accessed. We do not link the information we store within the analytics software to any personally identifiable information that you submit within the mobile application. Non-User Information: WhatchaCatchin?!’s The Bait Pail receives or obtains information (for example, an email address or IP address) about a person who is not yet a registered WhatchaCatchin?!’s The Bait Pail user (a “non-user”) in connection with certain WhatchaCatchin?!’s The Bait Pail features, such as when a non-user chooses to subscribe to an WhatchaCatchin?!’s The Bait Pail newsletter, a user invites a non-user to visit the Site, a user uploads non-user information using the contact uploader feature, a non-user engages in a transaction, a user sends a gift card code to a non-user, or a non-user uses Guest Checkout to make a purchase. 3. Findability

You can choose to import your contacts from your mobile device or personal email address book, or a social network account to WhatchaCatchin?!’s The Bait Pail. We do not retain the login information for your email service, mobile device, or social network site. You can search for people you know by email address or phone number on the Site or through the contact information you import. Finding your friends on WhatchaCatchin?!’s The Bait Pail helps you connect with them on our platform. For example, you can follow another user’s public activity, such as public Favorites. When you begin following another user’s activity, they will receive an email notification (if the user has consented to receiving this type of email).

If you do not want your contacts to be able to find you on WhatchaCatchin?!’s The Bait Pail through your email address, phone number, or social networking connections, then you can change your findability through your account settings. If you do not wish to be located on WhatchaCatchin?!’s The Bait Pail via your name, you can remove your name and instead may use a nickname or alias as your name in your public account information.

4. Messages from WhatchaCatchin?!’s The Bait Pail

On occasion, WhatchaCatchin?!’s The Bait Pail will need to contact you. Messages may be delivered by email, WhatchaCatchin?!’s The Bait Pail Messages, or by push notifications for a variety of reasons, including marketing, transactions, advocacy, and service update purposes. If you no longer wish to receive push notifications, you can disable them at device level. You can opt out of receiving marketing communications via email or Messages in your account settings or by following the unsubscribe link in any marketing email you receive. To ensure you properly receive notifications, we will need to collect certain information about your device, such as operating system and user identification information. Every account is required to keep a valid email address on file to receive messages. WhatchaCatchin?!’s The Bait Pail may also contact you by telephone to provide user support or for transaction-related purposes if you request that we call you. Additionally, and with your consent where required by applicable law, WhatchaCatchin?!’s The Bait Pail may send you an SMS (or similar) message, or reach out to you by telephone, in order to provide you with customer support, for research or feedback, for security purposes when you enable two factor authentication in your account, or to provide you with information about products and features that you may find of interest. You can update your contact preferences in your account settings. When you contact a vendor using WhatchaCatchin?!’s The Bait Pail Messages, the feature that allows buyers and vendors to communicate through the Services, we may share aggregated information about your use of the Services to vendors, for example if you are a frequent purchaser or a new buyer, so they can provide you with better service and so we improve our Site and Apps.

Some messages from WhatchaCatchin?!’s The Bait Pail are service-related and necessary for users and Guest Checkout users. You understand and agree that WhatchaCatchin?!’s The Bait Pail can send you non-marketing emails, WhatchaCatchin?!’s The Bait Pail Messages, or messages, such as those related to transactions, your account, security, or product changes. Examples of service-related messages include an email address confirmation/welcome email when you register your account, notification of an order, service availability, modification of key features or functions, relaying Messages with buyers, and correspondence with WhatchaCatchin?!’s The Bait Pail ’s Support team.

When you register for an account, subscribe to a newsletter, or provide us with your email address or phone number such as for a Guest Checkout purchase, you receive notice of and agree (in some jurisdictions and situations, by an additional unambiguous consent) to receive marketing emails and messages from us. You can unsubscribe at any time from marketing emails or messages through the opt-out link included in such emails, advocacy emails or messages. A contact-importer feature is available to help you locate and connect with your friends and contacts who may be users of WhatchaCatchin?!’s The Bait Pail (see the “Findability” section above for more information). If someone in your contact list is not already a user, you may invite them to join WhatchaCatchin?!’s The Bait Pail, and an email will be sent to them on your behalf. Recipients of email invitations may opt out of receiving future invitations by following instructions in the email invitation message. You may send an invitation only to someone who has given you consent to receive one.

5. Community

WhatchaCatchin?!’s The Bait Pail is a marketplace and a community. We offer several features that allow users to connect and communicate in public or semi-public spaces, such as Forums, which are a part of the WhatchaCatchin?!’s The Bait Pail Community space. You don’t have to use these features, but if you do, please use good judgment when posting in these community spaces or sharing your personal information with others through the Services. Be aware that any personal information that you choose to submit there can be read, collected, or used by others, or could be used to send unsolicited messages to you. We may engage certain third parties to assist in providing community services to you and, in the context of that relationship, we need to share some of your information with such third parties in order to provide that service. This may include, for example, information from your WhatchaCatchin?!’s The Bait Pail account that is publicly available, your account’s status, your forum posts and Site userships, your WhatchaCatchin?!’s The Bait Pail username and/or shop name, the display name you’ve optionally chosen to share publicly in your WhatchaCatchin?!’s The Bait Pail account, avatar image, the date that you registered on WhatchaCatchin?!’s The Bait Pail, as well as your language and regional settings on the Site. If you close your WhatchaCatchin?!’s The Bait Pail account, your Community account, which allows you to post in Forums, will also be closed and related personal information will be deleted. However, your posts may remain public after your account is closed, although your name will no longer be displayed alongside the post. You are responsible for the personal information that you choose to post in community spaces through the Services. Another user may follow your public activity on the Site to receive updates, such as when you add an item to your public favorites.

6. Information Uses, Sharing, & Disclosure

We respect your privacy. WhatchaCatchin?!’s The Bait Pail will not disclose your name, email address, or other personal information to third parties without your consent, except as specified in this policy.

You can control your privacy settings through the opt-out buttons in your account settings privacy tab, and the Privacy Settings link in the footer of most site pages and our homepage. Please note that some changes to your privacy settings may take a few days to take effect. We or our vendors may advertise our Services or our vendors’ products through a variety of different mediums and rely on your consent to do so off-site.

Legal Bases

WhatchaCatchin?!’s The Bait Pail provides a voluntary service; you can choose whether or not to use the Services. 9. Retention

WhatchaCatchin’s The Bait Pail offers a variety of services to make it easier for vendors to get products into the hands of buyers quickly and securely. This Shipping Policy explains your shipping obligations as a vendor and your rights and responsibilities when using WhatchaCatchin’s The Bait Pail.

This policy is a part of our Terms of Use. By opening an WhatchaCatchin’s The Bait Pail shop, you’re agreeing to this policy and our Terms of Use.

1. Shipping Your Items

Vendors are responsible for packaging and shipping their sold items to buyers. If you’re using a shipping or fulfillment service, please keep in mind that you are ultimately responsible for making sure that your buyers receive their orders.

By selling on WhatchaCatchin’s The Bait Pail, you agree to:

A. Provide an accurate “ships from” address.

B. Specify your shipping costs and processing times in your listings.

C. Ship items promptly after they are sold. Prompt shipping means that you ship each item within 30 days of purchase, unless you specify otherwise in your processing time or agree to a different shipping period with the buyer through Messages. Before you update your processing time for a specific order, you must first obtain your buyer’s consent.

D. Comply with all local and international shipping and customs regulations. We know that shipping and customs regulations can be tough to read, so check out these Help articles on international shipping using United States Postal Service (USPS), Canada Post, Royal Mail, Australia Post, Global Postal Shipping, and Yakit Shipping Partners.

E. Ship to the address listed on the WhatchaCatchin’s The Bait Pail receipt.

F. Mark the order as shipped when you ship it. Remember that you may only mark an order as shipped after you actually have shipped it. When you mark an order as shipped, the buyer will receive a notification.

G. Charge an appropriate amount for shipping. US and Canadian vendors may be able to use calculated shipping to have shipping costs calculated automatically.

By entering tracking information or delivery confirmation on WhatchaCatchin’s The Bait Pail, you’re giving us permission to collect and share this data received from your chosen shipping carrier with the buyer.

In the unlikely event an order does not arrive, be prepared to provide valid proof of shipping. Valid proof of shipping must show that the item actually was shipped and that it was sent to the address provided by the buyer on WhatchaCatchin’s The Bait Pail. If a buyer does not receive their order, they may file a case against your shop.

2. Fees

The cost of a shipping label will depend on the origin, destination, weight, mail class, package type, and dimensions of the package. If you add signature confirmation, insurance, or Royal Mail parcel compensation, fees will be added to the total cost of the label at the point of purchase. All fees for USPS, FedEx, Canada Post, Royal Mail, Australia Post, Global Postal Shipping, and Yakit Shipping Partner labels, and Shipsurance, Canada Post parcel insurance, Royal Mail parcel compensation, and Australia Post parcel insurance will appear separately on your payment account and will specify the name of the service provider and the shipping label number. The fees for shipping labels and shipping insurance will appear in US Dollars (USD), unless specified below.

PAYMENTS POLICY

WhatchaCatchin’s The Bait Pail allows vendors to accept various forms of payments on the Site WhatchaCatchin’s The Bait Pail users can accept payment from buyers by credit card, debit card, Gift Card, WhatchaCatchin’s The Bait Pail Coupon, some bank transfer services, PayPal (where available), and some country-specific instalment payment methods – all in their domestic WhatchaCatchin’s The Bait Pail Payments currencies. This policy explains all of your rights and obligations when using WhatchaCatchin’s The Bait Pail Payments.

This policy is a part of our Terms of Use. By using WhatchaCatchin’s The Bait Pail Payments, you’re agreeing to this policy and our Terms of Use.

1. Accepting These Terms

The WhatchaCatchin’s The Bait Pail Policy (or the “Policy”) sets out your rights and responsibilities when you use WhatchaCatchin’s The Bait Pail services (we’ll refer to WhatchaCatchin’s The Bait Pail.com and other services as our “Services”), so please read it carefully. By using WhatchaCatchin’s The Bait Pail, you’re agreeing to the Policy.

The Policy is a legally binding contract between you and WhatchaCatchin’s The Bait Pail

2. Overview

WhatchaCatchin’s The Bait Pail allows vendors to (a) accept payment by authorized credit and debit card transactions, some bank transfers services, and PayPal (where available), (b) have those funds credited to a vendor’s payment account with WhatchaCatchin’s The Bait Pail, and (c) have those funds deposited into a vendor’s designated bank account. WhatchaCatchin’s The Bait Pail reserves the right to add or remove payment methods accepted by WhatchaCatchin’s The Bait Pail in its sole discretion, with notice where required by applicable law.

WhatchaCatchin’s The Bait Pail is only available to vendors who are at least 18 years old who register and are approved for a payment account with WhatchaCatchin’s The Bait Pail.

Vendors may only use WhatchaCatchin’s The Bait Pail for the sale of items listed on WhatchaCatchin’s The Bait Pail’s Services, and agree to ship sold items once a payment transaction is complete and reflected in their payment account. WhatchaCatchin’s The Bait Pail reserves the right to terminate a vendor’s access to WhatchaCatchin’s The Bait Pail if the vendor uses WhatchaCatchin’s The Bait Pail in any other manner.

Buyers and Vendors benefit from WhatchaCatchin’s The Bait Pail having visibility into payments made on WhatchaCatchin’s The Bait Pail because it can make the Services easy to use and enables WhatchaCatchin’s The Bait Pail to effectively provide support to vendors or buyers where relevant. It also can help reduce fraud and other types of misuse of the WhatchaCatchin’s The Bait Pail platform.

3. Third-Party Services

WhatchaCatchin’s The Bait Pail has engaged third-party service providers that provide you with regulated payment services and perform many of the services related to payment processing, including card processing, disbursements, currency exchange, identity verification, fraud analysis, and regulatory compliance.

WhatchaCatchin’s The Bait Pail partners with licensed payment providers to facilitate card payments and other payments and the disbursement of funds to vendors. The provider and processing time for your payment will vary based on the country in which you’re located.

WhatchaCatchin’s The Bait Pail may share your personal or transactional information with those third-party service providers for purposes related to payments processing.

If WhatchaCatchin’s The Bait Pail receives notice that your shop’s content or activity violates a third party’s service agreement, we may at our sole discretion take action against your account to comply with their policies. Such actions may include canceling a transaction, disabling listings from your shop, suspending or terminating your selling privileges, or removing certain payment methods.

PayPal

WhatchaCatchin’s The Bait Pail supports integrated PayPal.

Integrated PayPal. In countries where PayPal is available and can be integrated with WhatchaCatchin’s The Bait Pail, Integrated PayPal allows vendors to receive funds from PayPal purchases directly into their WhatchaCatchin’s The Bait Pail payment account, without the need to manage a separate PayPal account. This means that if a buyer pays with PayPal, the funds from the order will be credited to a vendor’s payment account along with the rest of the orders. The standard WhatchaCatchin’s The Bait Pail Payment Processing Fee (described below) applies to orders that go through integrated PayPal; there is no additional PayPal fee.

4. WhatchaCatchin’s The Bait Pail’s Rights and Responsibilities

WhatchaCatchin’s The Bait Pail functionality may be made available, modified, or discontinued by us at any time without notice and is subject to the limitations in WhatchaCatchin’s The Bait Pail’s Terms of Use.

As a security measure, we may impose transaction limits on buyers and vendors. For example, we may impose limits relating to the value of any transaction, deposit, or adjustment, or limits relating to the cumulative value of all transactions, deposits, or adjustments during a period of time. We may also impose limits related to the number of transactions per day or other period of time. We will not be liable to a vendor: (a) if we do not proceed with a transaction, deposit, or adjustment that would exceed any limit established by us, or (b) if we permit a buyer to withdraw from a transaction.

WhatchaCatchin’s The Bait Pail may refuse service of WhatchaCatchin’s The Bait Pail to anyone, for any reason, at any time.

WhatchaCatchin’s The Bait Pail reserves the right to decline or refund transactions that we believe to be high risk, fraudulent, in violation of trade sanctions, or otherwise in violation of WhatchaCatchin’s The Bait Pail’s Terms of Use.

In the event that a buyer does not make payment for the purchase of a legitimate item sold using WhatchaCatchin’s The Bait Pail (e.g., where the buyer used a stolen or unauthorized credit card), WhatchaCatchin’s The Bait Pail may provide limited payment protection to the vendor, in the interest of fairness.

WhatchaCatchin’s The Bait Pail maintains records associated with transactions on WhatchaCatchin’s The Bait Pail Payments and does not pass any secure data, including credit card numbers or bank account information, to any vendors. Vendors will only receive shipping information and limited buyer account information necessary to complete the order. WhatchaCatchin’s The Bait Pail’s Privacy Policy further explains how WhatchaCatchin’s The Bait Pail handles user information.

WhatchaCatchin’s The Bait Pail will send you any relevant notices regarding your use of WhatchaCatchin’s The Bait Pail in accordance with our Communications Policy.

5. Vendor Rights and Responsibilities

A. Payment Accounts.

A payment account allows vendors to track payment amounts, refunds, and fees related to transactions and vendor services. Vendors must provide accurate personal information as requested during registration, and are responsible for maintaining and updating that information as necessary. Vendors will not impersonate any person or use any name they are not legally authorized to use. Vendors authorize us, and authorized agents, to verify their information (at registration and on occasion when using the Services) by accessing public records and obtaining credit reports about the vendors. WhatchaCatchin’s The Bait Pail verifies vendors’ information in order to safeguard the integrity of the marketplace and reduce the risk of fraud, money laundering, terrorist financing, and the violation of trade sanctions.

Payment accounts are only available to individuals who are eligible to be vendors on WhatchaCatchin’s The Bait Pail’s Services and who have a valid credit or debit card on file with WhatchaCatchin’s The Bait Pail, unless they are exempt from this requirement.

B. Disputes.

Vendors agree to resolve any disputes directly with a buyer or with the assistance of the dispute management and refund tools available on WhatchaCatchin’s The Bait Pail, and in accordance with our Vendor Policy and Terms of Use. In the event that a dispute is escalated to WhatchaCatchin’s The Bait Pail, WhatchaCatchin’s The Bait Pail reserves the right to issue a refund to a buyer and recoup such funds from the vendor if a transaction is found to be in violation of WhatchaCatchin’s The Bait Pail’s policies.

In the event that a buyer submits a chargeback, WhatchaCatchin’s The Bait Pail will respond to the credit card networks on behalf of the vendor involved in the transaction; the vendor agrees to provide any requested information to us within five calendar days of the request. WhatchaCatchin’s The Bait Pail reserves the right to recoup funds associated with buyer chargebacks from the vendor.

C. Communications.

We will inform vendors of each transaction, or of other information pertaining to WhatchaCatchin’s The Bait Pail, using our standard communication procedures (detailed in our Electronic Communications Policy), including by email or through WhatchaCatchin’s The Bait Pail’s Messages tool.

D. Refunds.

Refunds or adjustments paid by WhatchaCatchin’s The Bait Pail to buyers for payments made through WhatchaCatchin’s The Bait Pail Payments may be initiated using the refund functionality in the vendor’s payment account for a period of 180 days after the purchase was made. The WhatchaCatchin’s The Bait Pail Payments Platform does not have refund functionality after 180 days from the original purchase date. Any such funds paid by WhatchaCatchin’s The Bait Pail to cover refunds will be deducted from the vendor’s payment account balance. If there are insufficient funds to cover the amount of the refund, the balance will be charged to the vendor’s card on file or added to the vendor’s payment account. Refunds issued by WhatchaCatchin’s The Bait Pail will be in the original form of payment, and if such payment is not available, an WhatchaCatchin’s The Bait Pail credit will be issued.

For full refunds to buyers who used an WhatchaCatchin’s The Bait Pail Coupon towards their underlying purchase, the buyer will be refunded the amount they paid as part of the purchase, and WhatchaCatchin’s The Bait Pail will be refunded the amount contributed by WhatchaCatchin’s The Bait Pail via the WhatchaCatchin’s The Bait Pail Coupon. For partial refunds to buyers who used an WhatchaCatchin’s The Bait Pail Coupon towards their underlying purchase, refunds will be made to the buyer and WhatchaCatchin’s The Bait Pail proportionate to the amount contributed to the underlying purchase (in WhatchaCatchin’s The Bait Pail’s case via an WhatchaCatchin’s The Bait Pail Coupon).

WhatchaCatchin’s The Bait Pail reserves the right to refund buyers and recoup such refunded amounts from the vendor where the vendor has been refused service by WhatchaCatchin’s The Bait Pail in accordance with WhatchaCatchin’s The Bait Pail’s Terms of Use; and/or in circumstances where the vendor has unfulfilled or overdue orders.

Fully refunded transactions may be eligible for cancellation in accordance with our Cancellation Policy.

E. International Trade Laws.

You agree that your use of WhatchaCatchin’s The Bait Pail Payments will not involve any countries, entities, individuals, or items prohibited by sanctions, embargoes, regulations, or orders administered by the US Department of Treasury’s Office of Foreign Assets Control (“OFAC”) or other government agencies. See our Sanctions Policy for more information.

F. Information on Cardholder Charges.

Please note that your bank or card provider may charge additional fees (including cross-border fees) for transactions that you make on WhatchaCatchin’s The Bait Pail. These fees are not charged by WhatchaCatchin’s The Bait Pail and are at the discretion of your bank. Please contact your bank for further details.

6. Appointment of WhatchaCatchin’s The Bait Pail as Limited Collection Agent for Vendors

Each vendor appoints WhatchaCatchin’s The Bait Pail as its agent for the limited purpose of receiving, holding, and settling payments to vendor. WhatchaCatchin’s The Bait Pail will settle payments that are actually received by WhatchaCatchin’s The Bait Pail to each vendor, less any amounts owed to WhatchaCatchin’s The Bait Pail and subject to these Terms. Each vendor agrees that a buyer payment received by WhatchaCatchin’s The Bait Pail, on behalf of vendor, satisfies the buyer’s obligations to make payment to vendor, regardless of whether WhatchaCatchin’s The Bait Pail actually settles such payment to vendor. If WhatchaCatchin’s The Bait Pail does not settle any such payments as described in these Terms to a vendor, such vendor will have recourse only against WhatchaCatchin’s The Bait Pail and not the buyer.

7. Deposits

A. Payment Account.

All funds resulting from a completed transaction will be reflected as a balance in a vendor’s payment account. Transactions are considered complete at the later of once the payment is approved by WhatchaCatchin’s The Bait Pail or our fraud analysis service provider. Any refunds, adjustments, or other amounts paid to buyers in connection with purchases, or for funds received since the last payment day, are also applied to the vendor’s payment account balance.

Funds displayed in a vendor’s payment account balance are eligible for deposit (the “Available Funds”) into a vendor’s bank account, subject to any applicable reserve(s) and corresponding reserve limit, hold, or deposit delay, as described in Section B. Reserves; Holds and Delays below, and as otherwise determined by the vendor’s bank.

For deposits below designated thresholds in certain markets, a deposit fee will apply. A deposit minimum also applies to deposits in certain markets. Funds will only be available for deposit if they exceed the applicable deposit minimum.

B. Reserves; Holds and Delays

To protect the security and integrity of our marketplace, the users of the WhatchaCatchin’s The Bait Pail services, and WhatchaCatchin’s The Bait Pail, WhatchaCatchin’s The Bait Pail may take account-level or transaction-level actions based on risk-based criteria, like the criteria listed below. Some of our decisions about reserves, holds and delays may be based on criteria that demonstrates a vendor’s ability to fulfill orders in a manner consistent with WhatchaCatchin’s The Bait Pail’s policies. These criteria are essential to our management of risk and the protection of WhatchaCatchin’s The Bait Pail and our users. WhatchaCatchin’s The Bait Pail reserves the right to use a combination of reserves, deposit delays, and holds on your account.

Reserves.

A Reserve is an amount of money pending settlement as indicated in your payment account. A Reserve will be placed on your account if we believe there may be a high level of financial risk associated with you, your account, your business model, or your transactions.

When a Reserve is applied on your payment account, it means that a percentage of the funds in your payment account balance is held on an ongoing basis, and will not be made available for disbursement as Available Funds for a specified period of time. The Reserve percentage applies to amounts from your sales that would otherwise be available for disbursement. The percentage Reserve applied to your account is determined by your risk level and is used to create a threshold amount (explained in detail below) that applies to your payment account balance while you are in Reserve. You’ll be notified by email if a Reserve is applied to your Payment Account. The email you receive notifying you that you are in Reserve will include details of the Reserve, including the period of Reserve and the percentage applied to your Payment Account.

•             Threshold Reserve Amount applicable to your Account

•             The threshold reserve amount is the amount of funds you must have in your Payment Account while you’re in Reserve before you’ll have money available to disburse to your bank account (the “Threshold Reserve Amount”). The Threshold Reserve Amount will maintain the percentage Reserve that has been applied to your account. As a result, it may increase and decrease as appropriate to reflect new activity in your payment account, like sales you’ve received, refunds and chargebacks, charges to your payment account where applicable, as well as and Reserve amounts released to you. The Threshold Reserve will also determine the amount of funds available to be disbursed to your bank account as Available Funds and the amount of funds that are pending, because they are still in Reserve. Funds in excess of the Threshold Reserve Amount are available to you for disbursement as described in Section 7A above. Funds below the Threshold Reserve Amount are your Reserved funds and are not available for disbursement until the end of the applicable Reserve period. If your Reserve funds are used to cover any charges and your Reserve funds fall below the Threshold Reserve Amount, funds from subsequent sales will be applied to your Reserve funds to help you meet and maintain your Threshold Reserve Amount. You can view your Threshold Reserve Amount, as well as any Reserved funds and funds available to you for disbursement (Available Funds), in your Payment Account.

Reserve funds will be used to address potential financial risk such as refunds, chargebacks, claims, or vendor fees and charges, where your Available Funds do not sufficiently cover such charges. Reserve funds that are not used to address refunds, chargebacks, claims or vendor fees, where applicable, will be released to you in full at the end of the corresponding Reserve period on a rolling basis. However, Reserve funds will not be released if, during the Reserve period relating to a particular sale, a buyer raises a case against you, or files a chargeback, and you do not have sufficient funds in your Available Funds to cover a potential refund. WhatchaCatchin’s The Bait Pail relies on different risk factors (and whether and how these factors have changed over time) to determine whether and how much of a Reserve should be applied to your payment account, including:

•             How long you’ve been in business on WhatchaCatchin’s The Bait Pail (including how long since you’ve made your first sale)

•             Details of your sales (including volume and average sales earnings)

•             The extent of any backlog of orders from your shop

•             Availability of shipping tracking information

•             Types of goods you sell (whether they’re ready to ship or made to order)

•             Ratio of cases (disputes) opened by buyers in respect of your sales

•             Suspensions or warnings already received

•             Estimated delivery times; and

•             Shipping status of active orders

Types of Account Reserves:

A fixed reserve is a fixed percentage of your payment account balance at the time a Reserve is placed on your account, which will be held for a specified period of time. After that, the same percentage of each of your subsequent sales will be held in Reserve, each for a specified period of time. Reserve funds will be held for such period and where applicable, will be used to address chargebacks, refunds, and pay vendor fees. Reserve funds will be released on a rolling basis after the corresponding Reserve period expires, unless a case is raised against you by a buyer. Any funds above the Threshold Amount of your Reserve will be available to be disbursed as described in Section 7A.

•             For example, your Reserve could be set at 30% and held for a 45-day rolling period – meaning 30% of the funds in your payments account balance on day 1 are Reserved and then released on day 46. If you make a sale on day 2, 30% of the funds you receive from that sale on day 2 is reserved until day 47, etc. If you make a sale on day 4, 30% of the funds you receive from that sale are reserved until day 49. If any chargebacks are filed against you, or refunds to buyers are required, or vendor fees are charged, and your Available Funds are insufficient to cover such costs Reserve funds will be used to address those charges. If Reserve funds are used for such purpose(s), such funds will be released to you for disbursement less such amounts.

A variable reserve is a percentage, determined as appropriate by WhatchaCatchin’s The Bait Pail’s risk team, of a vendor’s payment account balance (i) delayed prior to being included as part of a vendor’s Available Funds for a period of up to 180 days or (ii) deducted from a vendor’s payment account as a reserve for a period of up to 90 days. A variable reserve may be placed on a vendor’s payment account balance in addition to any applicable Fixed Reserve in WhatchaCatchin’s The Bait Pail’s sole discretion. Account Reserves are placed on an account on a case by case basis, in reference to the factors listed above and other risk-based criteria, and are reviewed from time to time. WhatchaCatchin’s The Bait Pail may deem a vendor eligible for reduction in the percentage or removal of a Reserve due to a change in our risk-assessment of a vendor based on the factors listed above, or as a result of a vendor’s positive performance, such as a reduction in cases or an improvement in the vendor’s fulfillment of orders. WhatchaCatchin’s The Bait Pail may increase the Reserve percentage held and/or the period for which the Reserve applies based on our re-review of a vendor account against the factors listed above, and other risk-based criteria. If we change the terms of a Reserve due to a change in our risk assessment, we’ll notify you of the new terms.

Holds and Delays.

In some cases, deposits to a vendor’s bank accounts could be temporarily delayed by an issue at WhatchaCatchin’s The Bait Pail, WhatchaCatchin’s The Bait Pail’s third-party service providers, or a vendor’s bank. We’ll do our best to communicate with any affected vendor as soon as we can.

Separately, if we believe that a vendor’s actions may result in buyer disputes, chargebacks, increased risk of fraud, counterfeiting, or other claims, then we may, in addition to any applicable Reserve and in our sole discretion, put a hold or deposit delay on the vendor’s payment account balance.

•             A hold may be put on funds associated with a particular transaction if there is a dispute or investigation related to the order, for the shorter of: (a) 180 days after the estimated delivery date, or (b) completion of any investigation regarding the vendor’s actions.

•             Deposit delays are defined as the number of days between a sale and the day the net amount from the sale becomes available for deposit, provided the payment has been completed. A deposit delay may be between 0 and 180 days. A deposit delay is applied across all transactions for a vendor and the number of days is reflected in each vendor’s payment account.

If WhatchaCatchin’s The Bait Pail places a hold or deposit delay on a vendor’s account, we’ll do our best to communicate with the affected vendor as appropriate as soon as we can.

We always work hard to avoid and minimize any delays. However, please note that WhatchaCatchin’s The Bait Pail is not obligated to refund any fees or reimburse any expenses due to holds or delayed deposits.

C. Country and Currency Options.

Available Funds can only be deposited into bank accounts, in the domestic currency of the account, in the United States, Australia, Canada, the European Union, Hong Kong, Indonesia, Israel, Malaysia, Mexico, Morocco, New Zealand, Norway, Philippines, Singapore, South Africa, Switzerland, Turkey, United Kingdom and Vietnam in the following currencies: US Dollars (USD), Australian Dollars (AUD), Canadian Dollars (CAD), Swiss Francs (CHF), Danish Krone (DKK), Euros (EUR), British Pounds (GBP), Hong Kong Dollars (HKD), Indonesian Rupiah (IDR), Israeli Shekel (ILS), Moroccan Dirham (MAD), Mexican Peso (MXN), Malaysian Ringgit (MYR), New Zealand Dollars (NZD), Norwegian Krone (NOK), Philippine Peso (PHP), Swedish Krona (SEK), Singapore Dollars (SGD), Turkish Lira (TRY), South African Rand (ZAR) and Vietnamese Dong (VND).

D. Scheduled Deposits.

WhatchaCatchin’s The Bait Pail will instruct our payments partners to initiate a deposit of a vendor’s Available Funds into the vendor’s bank account on a biweekly or monthly basis. Vendors can select the frequency of disbursements from their payment account in their account settings. In this policy we’ll refer to the date of disbursement as the “Payment Date.” Deposits into a vendor’s bank account will generally be credited within three (3) to five (5) business days from the date WhatchaCatchin’s The Bait Pail initiates the deposit request. The actual timing of the deposit may depend on how quickly a vendor’s bank processes the request.

Daily Disbursement Thresholds Are Calculated In Equivalence To $50 USD Minimum  In The Applicable Currency.

The Payment Date will fall on the next business day (Monday through Friday, excluding bank holidays) if the scheduled Payment Date falls on a non-business day. When a vendor either initially provides or later changes their bank account information, the vendor must wait at least five (5) calendar days to request a deposit into a bank account as a security precaution. The next scheduled deposit after a change to bank account information will occur on the next applicable Payment Date after a period of five (5) calendar days from the date of the requested change.

E. Escheatment.

If WhatchaCatchin’s The Bait Pail cannot settle funds into a vendor’s bank account, or the vendor is refused service by WhatchaCatchin’s The Bait Pail under WhatchaCatchin’s The Bait Pail’s Terms of Use, the funds will remain with WhatchaCatchin’s The Bait Pail and the balance remains available in the vendor’s payment account. It is the vendor’s sole responsibility to update their bank account information to receive the funds, if applicable. If a vendor fails to update the information to claim the funds within a certain period of time, or WhatchaCatchin’s The Bait Pail cannot release funds to the vendor for compliance reasons, WhatchaCatchin’s The Bait Pail will escheat the funds to the relevant government authority as required in order to comply with applicable escheatment laws.

8. Recoupment

A. We reserve the right, in our sole discretion, to seek reimbursement from a vendor in any of the following circumstances: (a) we provide a refund to a buyer because a vendor did not promptly deliver the goods or we otherwise determine, consistent with Section 5 (Vendor Rights and Responsibilities], that a refund is warranted in a particular circumstance, (b) we discover erroneous or duplicate transactions related to a vendor, (c) we receive a chargeback from a buyer’s credit card issuer or reversal of payment for the amount of a buyer’s purchase from a vendor, or (d) a vendor does not act in accordance with WhatchaCatchin’s The Bait Pail’s policies.

B. We may obtain reimbursement of any amounts owed by a vendor to WhatchaCatchin’s The Bait Pail by deducting from future payments owed to the vendor, reversing any credits to the vendor’s payment account balance, charging the vendor’s card on file, charging the vendor’s payment account, or seeking reimbursement from the vendor by any other lawful means, including by using third-party collections services. You authorize us to use any or all of the foregoing methods to seek reimbursement. WhatchaCatchin’s The Bait Pail may suspend your selling privileges at any time pending payment of your outstanding balance.

9. Payment Processing Fees

A. Overview.

WhatchaCatchin’s The Bait Pail charges a fee (the “Payment Processing Fee”) for each transaction processed through WhatchaCatchin’s The Bait Pail. The fee amount will be assessed on the gross order amount, including shipping and tax (if applicable). Payment Processing Fees will be reflected in your payment account and will be deducted from the total amount of the payment at the time the payment is considered complete. We reserve the right to modify the Payment Processing Fee at any time. For deposits below designated thresholds in certain markets, a deposit fee will apply, as described in the table below. Deposit fees are deducted from your Available Funds and reflected in your payment account at the time of your scheduled deposit. In the event of any partial or full refunds credited back to a buyer, the Payment Processing Fee and other applicable fees will be recalculated based on the adjusted sale price. The difference between the original Payment Processing Fee and the adjusted Payment Processing Fee will be applied to the refund amount being credited back to the vendor. Other applicable fees will be refunded to the vendor’s payment account. Deposit fees will be refunded if the deposit is returned to a vendor’s payment account.

Payment processing fees are charged for each transaction made through WhatchaCatchin’s The Bait Pail Payments. Payment processing fees vary based the payment option selected by the buyer such as PayPal or GooglePay for example, and are subject to change. Fees incurred for payment processing are passed through to vendors for the gross amount the purchase.  The payment processing fee is assessed on the total amount of the sale, including tax and shipping. Payment processing fees are deducted from the sale amount in your payment account. Fees are deducted from your Available Funds and reflected in your payment account at the time of your scheduled deposit.

C. Listing Currency Conversion Considerations for Vendors.

When a vendor lists and subsequently sells an item in a currency other than the currency of the vendor’s payment account, WhatchaCatchin’s The Bait Pail will settle the associated transaction proceeds in the currency of the vendor’s payment account. When such a service is required, WhatchaCatchin’s The Bait Pail applies an additional foreign exchange fee up to 2.5%. Calculation rates are updated regularly.

D. Value-Added Tax (VAT).

Depending on your business status and location, WhatchaCatchin’s The Bait Pail may be required to charge VAT on vendor fees accrued each month and remit it to the relevant tax authority.

E. Browsing Currency Considerations for Buyers.

In the case of a buyer purchasing from a vendor who lists in a currency other than the buyer’s browsing currency, WhatchaCatchin’s The Bait Pail will automatically calculate the listing price in the buyer’s browsing currency. When such a calculation is required, WhatchaCatchin’s The Bait Pail applies an additional currency conversion charge. Calculation rates are updated regularly.

F. Interest.

In the United States, WhatchaCatchin’s The Bait Pail may earn interest (or other compensation) from the balances in our bank accounts because of the timing difference between our being paid by buyers and our paying vendors (when our bank account is being debited to pay Available Funds in payment accounts to vendors).

10. Reporting Obligations

US

Internal Revenue Service regulations require that we file a Form 1099-K to report unadjusted annual gross sales information for vendors located in the United States or being paid in USD in certain circumstances. Please see this Help article for more details.

To comply with these regulations, vendors who approach 150 (one hundred and fifty) transactions in a calendar year, regardless of sales volume and aggregated across his or her Shops, will be required to provide taxpayer-identification information to WhatchaCatchin’s The Bait Pail.

FEES AND PAYMENTS

IMPORTANT: This policy is effective as of February 1, 2022.

This policy is a part of our Terms of Use. By opening an WhatchaCatchin’s The Bait Pail shop, you’re agreeing to this policy and our Terms of Use.

1. Types of Fees

Vendors may be required to pay the following types of fees. Please note that all fees are listed exclusive of any value-added tax (VAT) or similar taxes that may apply.

Transaction Fees

When you make a sale through the Site, you will be charged a transaction fee of 5% of the price you display for each listing plus the amount you charge for shipping and gift wrapping. If you sell from the US or Canada, the transaction fee will not apply to sales tax, Goods and Services Tax (“GST”), or Harmonized Sales Tax (“HST”), unless you have included those charges in your listing price. If you sell from anywhere other than the US and Canada, the transaction fee will apply to the listing price (which should include any applicable taxes), shipping price, and gift wrapping fee. If you offer optional personalization for an additional fee, the additional fee for personalization is added to the listing price you display and the total display price is subject to the same transaction fees described in this Section. Transaction fees are deducted from your current balance as each sale occurs, and are reflected in your payment account.

Payment Processing Fees

Online Sales Payment processing fees are charged for each transaction made through WhatchaCatchin’s The Bait Pail. Payment processing fees vary based on the location of your bank account. In certain markets, a fixed deposit fee may be charged for the disbursement of vendor funds that are under certain designated thresholds. The payment processing fee is assessed on the total amount of the sale, including tax and shipping. Payment processing fees are deducted from the sale amount in your payment account. Deposit fees are deducted from your Available Funds and reflected in your payment account at the time of your scheduled deposit.

Regulatory Operating Fees

Vendors in certain countries will be charged a Regulatory Operating fee on each transaction. A Regulatory Operating fee is a fixed percentage of the price you display for each listing plus the amount you charge for shipping, which should include applicable taxes, (including gift wrapping and personalization, if applicable) and is charged, where applicable, in addition to other fees described in this Policy. Regulatory Operating fees may vary per country and are charged as a result of the increased cost of operating in the relevant country, for example, as a result of additional costs of compliance with applicable regulation(s).

Currency Conversion

With the exception of the transaction fee, the Payment Processing fee, Regulatory Operating fees, and deposit fees, WhatchaCatchin’s The Bait Pail converts fees from USD to your payment account currency at the market rate at the time the fee is reflected in your payment account. All fees appear in your payment account in your domestic currency.

Transaction fees, Regulatory Operating fees: If you list your items in a currency other than that of your payment account, the transaction fee and, where applicable and Regulatory Operating fee will be converted to your payment account currency at the market rate and reflected in your payment account.

To avoid incurring foreign exchange charges on your sales, WhatchaCatchin’s The Bait Pail recommends you list your items in the same currency as your payment account currency. Buyers see the items in the currency of their choosing. As an WhatchaCatchin’s The Bait Pail user, if you decide to list in a currency other than that of your payment account, you will be charged a 2.5% currency conversion fee on the sale amount to send funds to your payment account. Currency conversion is handled automatically by our payment processing service.

2. Fee Avoidance

Any action by a vendor to avoid paying a fee is considered fee avoidance and is strictly prohibited by WhatchaCatchin’s The Bait Pail. This includes, for example, encouraging buyers to purchase an item in your WhatchaCatchin’s The Bait Pail shop through another venue. A transaction initiated on WhatchaCatchin’s The Bait Pail may not be completed off of WhatchaCatchin’s The Bait Pail. The price stated in each listing description must be an accurate representation of the sale. Vendors may not alter the item’s price after a sale for the purpose of avoiding WhatchaCatchin’s The Bait Pail transaction fees, misrepresent the item’s location, or use another user’s account without permission.

3. Paying your WhatchaCatchin’s The Bait Pail Fees

WhatchaCatchin’s The Bait Pail will automatically deduct all fees owed from your payment account. Provided you have sufficient funds in your payment account no further payment action is required. If your payment account does not contain sufficient funds you are responsible for paying any fees owed in full within 15 days of the date of your monthly statement, or the account will be considered past due, and WhatchaCatchin’s The Bait Pail may charge your card on file or take other actions to collect. If you make a sale while you have an outstanding balance the net sale amount will be applied to your outstanding balance. You may pay your outstanding balance manually by credit card, debit card, or PayPal.

WhatchaCatchin’s The Bait Pail may suspend your selling privileges at any time pending payment of your outstanding balance.

A. You authorize WhatchaCatchin’s The Bait Pail to keep your payment card information on file and to charge the card on file on the first day of each calendar month for the previous month’s outstanding charges and at any time the balance of fees reaches the designated fee threshold for your account. Upon enrollment, WhatchaCatchin’s The Bait Pail will charge your current balance to the card on file.

B. When your card account is debited, WhatchaCatchin’s The Bait Pail will send you an email with the amount charged. You can also review this information by accessing your account on WhatchaCatchin’s The Bait Pail.

C. If your card account on file with us is closed, the account number is changed, or a charge is rejected by your card issuer, you must update your card information or add a new card number in your WhatchaCatchin’s The Bait Pail account. If your charge is refused by the issuer for any reason, your WhatchaCatchin’s The Bait Pail account may be suspended or terminated, and you are still required to pay your outstanding balance by some other means. Your authorization applies to any successor or replacement card you or your card issuer provides.

D. Suspended or terminated users remain obligated to pay WhatchaCatchin’s The Bait Pail for all unpaid fees.

4. Taxes

Aside from the limited circumstances set out below, you are responsible for collecting and paying any taxes associated with using and making sales through WhatchaCatchin’s The Bait Pail’s services. WhatchaCatchin’s The Bait Pail will issue 1099-K forms to certain vendors to comply with IRS and state requirements.

A. Listing your items on WhatchaCatchin’s The Bait Pail

You are responsible for remittance of sales tax for orders shipped to customers residing in US locations.

If you sell on WhatchaCatchin’s The Bait Pail and reside outside of the US or Canada, you need to include applicable taxes in your listing prices. Please note that while some countries may refer to VAT using other terms, e.g. GST, we’ll just refer to VAT, GST, and any local sales taxes collectively as “VAT” unless the context requires otherwise.

Where WhatchaCatchin’s The Bait Pail is required to collect sales tax/VAT on your behalf, WhatchaCatchin’s The Bait Pail will use the category you assigned to each listing to calculate, collect, and remit the applicable taxes. You are solely responsible for ensuring that all of your listings are properly categorized, and you agree to indemnify WhatchaCatchin’s The Bait Pail for any losses it incurs in connection with any miscategorization of your listings by you.

Please remember that WhatchaCatchin’s The Bait Pail’s fees do not include any withholding taxes that might apply in your home country. You are required to pay WhatchaCatchin’s The Bait Pail the full amount of our fees and may not deduct any applicable withholding taxes from that amount.

Please also note that some countries require WhatchaCatchin’s The Bait Pail to apply VAT on the fees that you may be charged in accordance with this policy, and that the fees listed in this policy are exclusive of VAT.

B. Taxes We Collect from Buyers on Behalf of the Vendor

United States Sales Tax

In most US states, as applicable, WhatchaCatchin’s The Bait Pail will collect the sales tax amount from the buyer and it will be passed along to the vendor for proper remittance.

For items shipped to certain states, including but not limited to Washington state (or, for digital items, those purchased with a Washington state billing address), WhatchaCatchin’s The Bait Pail will use the category you assigned to each listing to calculate, collect, and remit the applicable sales tax based on the buyer’s location in the US.

Taxes Collected from buyers outside the US

Digital VAT Fees

Under local laws in certain countries, WhatchaCatchin’s The Bait Pail is required to collect and remit VAT to the relevant tax authorities when you sell a digital item delivered via automatic download to the buyer. You will receive the additional amount paid by the buyer for the VAT, and you will need to pay this amount to WhatchaCatchin’s The Bait Pail. The VAT amount paid by the buyer will appear on your payment account and will be deducted from your current balance.

6. WhatchaCatchin’s The Bait Pail Gift Cards, WhatchaCatchin’s The Bait Pail Credits & WhatchaCatchin’s The Bait Pail Coupons

You may accept payment by WhatchaCatchin’s The Bait Pail Gift Cards, WhatchaCatchin’s The Bait Pail Credits, and WhatchaCatchin’s The Bait Pail Coupons. WhatchaCatchin’s The Bait Pail Gift Cards, WhatchaCatchin’s The Bait Pail Credits, and WhatchaCatchin’s The Bait Pail Coupons are subject to the WhatchaCatchin’s The Bait Pail Gift Cards, Credits & Coupons Policy. WhatchaCatchin’s The Bait Pail also charges the applicable processing fee described above on WhatchaCatchin’s The Bait Pail Gift Card, WhatchaCatchin’s The Bait Pail Credit, and WhatchaCatchin’s The Bait Pail Coupon transactions.

WhatchaCatchin’s The Bait Pail is not a curated marketplace. However, for a variety of reasons, we prohibit certain types of items from WhatchaCatchin’s The Bait Pail. Some items present legal risks to our platform; others are inconsistent with our values or simply are not in the spirit of WhatchaCatchin’s The Bait Pail. This policy explains what is prohibited or restricted on WhatchaCatchin’s The Bait Pail.

We have a zero tolerance policy for prohibited items, particularly those that promote, support or glorify physical violence, or are unlawful. Vendors deemed to violate this policy can be subject to immediate account suspension or termination, in accordance with our Terms of Use.

This policy is a part of our Terms of Use. By opening an WhatchaCatchin’s The Bait Pail shop, you’re agreeing to this policy and our Terms of Use.

The following types of items are prohibited or restricted on WhatchaCatchin’s The Bait Pail:

1.            Any item prohibited for sale or possession by Federal, State, or Local laws or ordinaces

2.            Any item not inherently related to fishing

We hope these guidelines are helpful, but we cannot catalog every permitted or prohibited item. If you see something on WhatchaCatchin’s The Bait Pail that appears to violate these rules, you can report it to us.

 SANCTIONS POLICY

WhatchaCatchin?!’s The Bait Pail provides a direct connection between buyers and sellers around the world. When you use WhatchaCatchin?!’s The Bait Pail’s services, you are responsible for complying with this policy, regardless of your location.

This policy is a part of our Terms of Use. By using any of our Services, you agree to this policy and our Terms of Use.

As a global company based in the US with operations in other countries, WhatchaCatchin?!’s The Bait Pail must comply with economic sanctions and trade restrictions, including, but not limited to, those implemented by the Office of Foreign Assets Control (“OFAC”) of the US Department of the Treasury. This means that WhatchaCatchin?!’s The Bait Pail or anyone using our Services cannot take part in transactions that involve designated people, places, or items that originate from certain places, as determined by agencies like OFAC, in addition to trade restrictions imposed by related laws and regulations.

This policy applies to anyone that uses our Services, regardless of their location. It is up to you to familiarize yourself with these restrictions.

For example, these restrictions generally prohibit, but are not limited to, transactions involving:

1.            Certain geographic areas, such as Crimea, Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Donetsk People’s Republic (“DNR”) and Luhansk People’s Republic (“LNR”) regions of Ukraine, or any individual or entity operating or residing in those places;

2.            Individuals or entities identified on sanctions lists such as OFAC’s Specially Designated Nationals (“SDN”) List or Foreign Sanctions Evaders (“FSE”) List;

3.            Nationals of Cuba, regardless of location, unless citizenship or permanent residency outside of Cuba has been established; and

4.            Items originating from areas including Cuba, North Korea, Iran, or Crimea, with the exception of informational materials such as publications, films, posters, phonograph records, photographs, tapes, compact disks, and certain artworks.

5.            Any goods, services, or technology from DNR and LNR with the exception of qualifying informational materials, and agricultural commodities such as food for humans, seeds for food crops, or fertilizers.

6.            The importation into the U.S. of the following products of Russian origin: fish, seafood, non-industrial diamonds, and any other product as may be determined from time to time by the U.S. Secretary of Commerce.

7.            The exportation from the U.S., or by a U.S. person, of luxury goods, and other items as may be determined by the U.S. Secretary of Commerce, to any person located in Russia or Belarus. 8.            Items originating outside of the U.S. that are subject to the U.S. Tariff Act or related Acts concerning prohibiting the use of forced labor.

WhatchaCatchin?!’s The Bait Pail reserves the right to request that sellers provide additional information, disclose an item’s country of origin in a listing, or take other steps to meet compliance obligations. We may disable listings or cancel transactions that present a risk of violating this policy.

In addition to complying with OFAC and applicable local laws, WhatchaCatchin?!’s The Bait Pail users should be aware that other countries may have their own trade restrictions and that certain items may not be allowed for export or import under international laws. You should consult the laws of any jurisdiction when a transaction involves international parties.

Finally, WhatchaCatchin?!’s The Bait Pail users should be aware that third-party payment processors, such as PayPal, may independently monitor transactions for sanctions compliance and may block transactions as part of their own compliance programs. WhatchaCatchin?!’s The Bait Pail has no authority or control over the independent decision-making of these providers.
